i tried to replace / reinstall driver of them one by one. didn't worked.
tried with saved games on 2 pc's. didn't worked either. i still did not reinstal my Win. (which is 7 - 32bit.) maybe downgrading to xp pro will do the trick !?! i will give it a trie. thanks.

I think Windows 7 is useful enough and has been around for enough time so that, if GTA 4 wasn't compatible with it, an patch would've been released already.
