the only thing you may be missing is netframework 2.. from the readme.txt on dvd

It is absolutely essential that Microsoft .Net Framework 2.0
is installed.
The Microsoft .Net Framework 2.0 installation will begin
automatically at the end of the ‘Gray Matter’ installation.
The installation can also be started manually from the ‘Gray Matter’ DVD.
Microsoft .Net Framework 2.0 is located on the ‘Gray Matter’ DVD in the following folder:
\Support\MircrosoftNETFramework.
try it and see if it helps.. the ati should be no problem running the game.
