It's quite easy to copy Need for Sppeed - Underground 2.
Create an image of CD 1 and CD 2 of the game with the newest Version of
CloneCD 5.
You can find the program here:
http://www.slysoft.com/de/download.html
Then burn the IMAGES of CD 1 and CD 2 on two CD-Rs.
Then you can install from the discs and even play with.
P.S. You can also make a direct copy with CloneCD 5 but it's better to create IMAGES first.
